The Counci1 shall, by a distributed two-thirds majority vote,
estab1ish such rules and regulations. inc1uding its own rules of procedure
and the financia1 and staff regulations of the Organization, as are
necessary to carry out the provisions of this Agreement and are consistent
therewith. The Counci1 may,

its rules of procedure. provide the means
whereby it rnay, without meeting. decide specific questions.
(3) The Counci1 sha11 a1so keep such records as are required to perform
its functions under this Agreement and such other records as it considers
desirable.
Article 11
E1ection of the Chairman and Vice-Chairmen of the Council
(1) The Counci1 sha11 elect. for each coffee year, a Chairman and a first,
a second and a third Vice-Chairman.
(2) As a genera1 ru1e, the Chairman and the first Vice-Chairman shall
both be e1ected either from among the representatives of exporting Members
or from among the representatives of importing Members and the second and
the third Vice-Chairmen sha11 be e1ected from among representatives of
the other category of Member. These offices sha11 a1ternate each coffee
year between the two categories of Member.
(3) Neither the Chairman
