Quorum for the Counci1 and the Board
(1) The quorum for any meeting of the Counci1 sha11 be the presence of

a majority of the Members representing a distributed two-thirds majority
of the tota1 votes. If there is
ηο
quorum at the time appointed for the
commencement of any Counci1 meeting. the Chairman of the Counci1 may
decide to postpone the opening time of the meeting for at 1east three
hours. If there is
ηο
quorum at the new time set, the Chairman may again
defer the opening time of the Cdunci1 meeting for at 1east a further three
hours. This procedure may be repeated unti1 a quorum is present at the
appointed time. Representation in accordance with the provisions of
paragraph (2) of Artic1e 14 sha11 be considered as presence.
(2) The quorum for

meeting of the Board shall be the presence of a
majority of the Members representing a distributed two-thirds majority of
the total votes.
Article 21
The Executive Director and the staff
(1) The Council shal1 appoint the Executive Director

the recommendation
of the Board. The terms of appointment of the Executive Director shall
be established by the Council and sha11 be comparable to those applying to
corresponding officials of

intergovernmental organizations.
(2) The Executive Director sha11 be the chief administrative officer of
the Organization and shall be responsib1e for the performance

duties devolving

the administration of this Agreement.
