Dear Sirs:
We refer to Section
4.02
of the Loan Agreement (Southern Conveyor
Project for Water Resources Development) of even date herewith between
the Republic of Cyprus (the Borrower) and the Internationa1 Bank for
Reconstruction and Deve10pment (the Bank).
